(\u201cCompad Software\u201d).<br \/>\n1.2 Stated prices are exclusive of VAT and any other government-imposed levies.<br data-start=\"206\" data-end=\"209\">1.3 Quotations and offers constitute a non-binding proposal and are valid for 30 days. After this period, the offer expires automatically.<br \/>\n1.3 Deviations from these terms and conditions are only valid if confirmed in writing by Compad Software.<br \/>\n1.4 General terms and conditions of the client are explicitly not applicable, unless otherwise agreed in writing. <\/p>\n<ol start=\"2\">\n<li style=\"font-weight: 400; color: #006ab4;\"><strong>  Subscription Type<\/strong><\/li>\n<\/ol>\n<p style=\"font-weight: 400;\">2.1 CompadOne is provided in the form of a monthly subscription. This includes the use of the hardware POS system with a built-in or external receipt printer and the associated CompadOne software.<br \/>\n2.2 The subscription has a minimum term of three years, unless otherwise agreed in writing.<br \/>\n2.3 Payment is made monthly in advance via the agreed payment method.<br \/>\n2.4 Cancellation is possible with written notice, at least three months before the end of the subscription period.<br \/>\n2.5 The subscription includes the right to maintenance and software updates as described in Article 6. <\/p>\n<ol start=\"3\">\n<li style=\"font-weight: 400; color: #006ab4;\"><strong>  Delivery and Warranty<\/strong><\/li>\n<\/ol>\n<p style=\"font-weight: 400;\">3.1 CompadOne is delivered as soon as the agreement has been established and the first payment has been received.<br \/>\n3.2 Delivery of products and\/or services by CompadOne takes place only after the agreement has been signed by both parties. CompadOne maintains a minimum delivery time of six (6) weeks after the signing of the agreement.<br \/>\n3.3 Compad Software reserves the right to adjust its rates, unless otherwise agreed in writing.<br \/>\n3.4 CompadOne hardware has a warranty period of three years. In the event of defects, Compad Software will provide replacement hardware within five working days after the defective hardware has been received and assessed by Compad Software. The client is responsible for ensuring this. Replacement may consist of a new or refurbished POS terminal, equipped with the CompadOne software.<br \/>\n3.5 The warranty applies exclusively to defects resulting from normal use. The client is responsible for returning the defective hardware to Compad Software. This must be done by packaging the POS terminal properly, preferably in the original packaging, and sending it by mail or via a courier. The costs and risk of transport are entirely for the account of the client. Any damage occurring during transport as a result of improper packaging is also entirely for the account and risk of the client.<br \/>\n3.6 The warranty does not cover:        <\/p>\n<ul style=\"font-weight: 400;\">\n<li>damage caused by water, moisture, or other liquids;<\/li>\n<li>damage caused by falling, bumping, or physical impact;<\/li>\n<li>damage caused by incorrect, improper, or unprofessional use of the hardware;<\/li>\n<li>damage caused by external influences such as power failures, lightning strikes, fire, or other natural disasters.<\/li>\n<\/ul>\n<p style=\"font-weight: 400;\">3.7 Problems or errors in the software are not covered by the hardware warranty but can be resolved through maintenance and updates.<\/p>\n<p>3.8 At the request of the client, Compad Software may deviate from the standard delivery time and proceed with expedited delivery or replacement, provided the requested POS terminal is in stock. The associated extra costs are entirely for the account of the client, including but not limited to: <\/p>\n<ul style=\"font-weight: 400;\">\n<li>deployment of the emergency service outside regular working hours;<\/li>\n<li>costs for preparing the POS terminal for use on an urgent basis;<\/li>\n<li>courier and transport costs for expedited delivery.<\/li>\n<\/ul>\n<p style=\"font-weight: 400;\">3.9 The client is responsible for the installation environment, infrastructure, and cabling, including sufficient power supplies and network connectivity. The technical requirements are set out in the manual \u201cInstallation CompadOne\u201d. <\/p>\n<p style=\"font-weight: 400;\">3.10 Compad Software is not liable for damage or malfunctions caused by improper installation, insufficient power supply, or poor internet connection. The client must engage a qualified installer or electrician for this purpose. <\/p>\n<ol start=\"4\">\n<li style=\"font-weight: 400; color: #006ab4;\"><strong>  Installation, Infrastructure, and Support<\/strong><\/li>\n<\/ol>\n<p style=\"font-weight: 400;\">4.1 Compad Software delivers CompadOne as a combination of hardware and software, ready for use under the correct conditions. Upon request, the delivery of only the CompadOne software is possible. <br data-start=\"3143\" data-end=\"3146\">4.2 The client is fully responsible for the existing infrastructure, including: cabling, network facilities, internet connection, sufficient and correct power supplies, and connection points.<br data-start=\"3361\" data-end=\"3364\">4.3 The technical requirements that the infrastructure must meet are set out in the manual \u201cInstallation CompadOne\u201d, which is made available by Compad Software.<br data-start=\"3546\" data-end=\"3549\">4.4 The client shall ensure that the installation environment meets these requirements. If this is not the case, any malfunctions, defects, or delays are entirely for the account and risk of the client.<br data-start=\"3783\" data-end=\"3786\">4.5 Compad Software is not liable for damage, malfunctions, or the failure of CompadOne to function as a result of: improper or incorrect installation of cabling or infrastructure, insufficient or defective power supply, or malfunctions in the internet connection.<br data-start=\"4062\" data-end=\"4065\">4.6 The client must engage a qualified installer or electrician if this is necessary for a correct installation.<br data-start=\"4227\" data-end=\"4230\">4.7 Compad Software provides remote support during regular office hours. Outside these hours, an emergency service can be used; costs and conditions for the helpdesk and emergency service can be found under &#8220;costs&#8221;.<br data-start=\"4456\" data-end=\"4459\">4.8 Compad Software warrants that the delivered hardware and software have been tested in advance and function correctly upon delivery, provided they are used in accordance with the stated installation requirements.   <\/p>\n<ol start=\"5\">\n<li style=\"font-weight: 400; color: #006ab4;\"><strong>  Continuity Service (Optional)<\/strong><\/li>\n<\/ol>\n<p style=\"font-weight: 400;\">5.1 Customers can take out a continuity service for an additional POS terminal with software.<br \/>\n5.2 In the event of failure of the primary POS terminal, the backup terminal can be deployed immediately, ensuring business continuity.<br \/>\n5.3 This service is optional and is not part of the standard subscription.<\/p>\n<ol start=\"6\">\n<li style=\"font-weight: 400; color: #006ab4;\"><strong>  Maintenance and Software Updates<\/strong><\/li>\n<\/ol>\n<p style=\"font-weight: 400;\">6.1 During the subscription, the client automatically receives all CompadOne software updates.<br \/>\n6.2 Updates may contain new features; Compad Software does not guarantee that previous functionalities will remain completely unchanged.<br \/>\n6.3 Three months after an update is made available, Compad Software is no longer obliged to provide support for previous software versions.<br \/>\n6.4 Maintenance exclusively includes resolving defects during normal use of the software. Defects caused by external factors or incorrect use are not covered.<br \/>\n6.5 The client must cooperate with maintenance, including making the POS terminal available and providing access to systems if necessary.<br \/>\n6.6 Compad Software strives to resolve software problems within 5 working days during regular office hours. Outside these hours, the emergency service applies (see costs and conditions).<br \/>\n6.7 The client is responsible for making backups of data. Compad Software is not liable for the loss of sales, customer, or financial data.<br data-start=\"5988\" data-end=\"5991\">6.8 Compad Software is not liable for any problems caused by software updates.   <\/p>\n<ol start=\"7\">\n<li style=\"font-weight: 400; color: #006ab4;\"><strong>  Ownership and Use<\/strong><\/li>\n<\/ol>\n<p style=\"font-weight: 400;\">7.1 The CompadOne hardware and software remain the property of Compad Software and are on loan to the customer.<br \/>\n7.2 With the subscription, the client receives a non-exclusive, non-transferable right of use for CompadOne during the subscription period.<br \/>\n7.3 Resale, rental, copying, modification, decompilation, or otherwise making the software available to third parties is prohibited without written permission from Compad Software.<br \/>\n7.4 The license applies per POS terminal and per location; use on multiple terminals or locations is only permitted after taking out additional subscriptions.<br \/>\n7.5 The hardware delivered by Compad Software remains the property of Compad Software at all times and is only provided for use to the client during the term of the subscription.<br \/>\n7.6 Upon termination of the subscription, for whatever reason, the client is obliged to return the hardware to Compad Software within 14 days after termination, complete, undamaged, and in its original condition. Transport costs for the return shipment are for the account of the client.<br \/>\n7.7 If the hardware is not returned on time, the client shall owe an immediately payable compensation of \u20ac5,000 as a one-off fee per POS terminal, without further notice of default and without judicial intervention.<br \/>\n7.8 Compad Software also reserves the right to charge the full replacement value of the hardware if the hardware is not returned or is received in a damaged state. <\/p>\n<ol start=\"8\">\n<li style=\"font-weight: 400; color: #006ab4;\"><strong>  Privacy and Data Protection<\/strong><\/li>\n<\/ol>\n<p style=\"font-weight: 400;\">8.1 Personal data processed via CompadOne is handled in accordance with the GDPR.<br \/>\n8.2 The client remains responsible for the lawful processing of data within the POS software.<br \/>\n8.3 Compad Software may engage sub-processors provided they comply with the same obligations.<br \/>\n8.4 Data is not stored longer than necessary for the execution of the subscription and is thereafter deleted or delivered to the client in a common format.<\/p>\n<ol start=\"9\">\n<li style=\"font-weight: 400; color: #006ab4;\"><strong>  Payment and Collection<\/strong><\/li>\n<\/ol>\n<p style=\"font-weight: 400;\">9.1 Payment for the subscription must be made in advance and on time, in accordance with the payment terms stated in the agreement.<br \/>\n9.2 If the client fails to pay on time, Compad Software reserves the right to temporarily suspend the use of the CompadOne software license. This suspension can be carried out remotely, so that CompadOne cannot be used until payment has been fulfilled.<br \/>\n9.3 CompadOne can be expanded with multiple licenses within one store. A separate subscription rate will be charged for each additional license. Additional licenses are invoiced per full month and cannot be purchased pro rata.   <\/p>\n<ol start=\"10\">\n<li style=\"font-weight: 400; color: #006ab4;\"><strong>  Force Majeure<\/strong><\/li>\n<\/ol>\n<p style=\"font-weight: 400;\">10.1 Parties are not liable for delay or non-performance as a result of force majeure, including fire, storm, pandemics, power failures, or other circumstances beyond the control of Compad Software.<br \/>\n10.2 If a force majeure situation lasts longer than 90 days, the agreement may be terminated in writing with a pro rata settlement of services or hardware already delivered.<br \/>\n9.3 Compad Software is not obliged to replace or compensate for hardware in the event of force majeure.<\/p>\n<ol start=\"11\">\n<li style=\"font-weight: 400; color: #006ab4;\"><strong>  Confidentiality<\/strong><\/li>\n<\/ol>\n<p style=\"font-weight: 400;\">11.1 Both parties commit to maintaining the confidentiality of all confidential information, including software, documentation, and technical data of Compad Software.<\/p>\n<ol start=\"12\">\n<li style=\"font-weight: 400; color: #006ab4;\"><strong>  Duration and Continuation of Subscription<\/strong><\/li>\n<\/ol>\n<p style=\"font-weight: 400;\">12.1 The subscription has an initial term of three years, unless otherwise agreed in writing.<br \/>\n12.2 At the end of this period, the client has the choice of the following options:<br \/>\na. If the existing CompadOne hardware still functions properly, the client can continue the subscription. In that case, a discount of \u20ac20 per month will be applied to the applicable subscription rate;<br \/>\nb. If the client chooses to replace the hardware, a new subscription is entered into for a new period. In that case, the client receives a new POS terminal equipped with the associated software. Integration costs will be charged for the commissioning and setup of this new terminal.<br \/>\n12.3 If the client does not make a choice known before the end of the initial term, the subscription will be automatically continued based on the existing hardware, with the application of the discount as mentioned in paragraph 2 under a.<br \/>\n12.4 Compad Software reserves the right to terminate the subscription with immediate effect if the client is declared bankrupt, applies for a suspension of payments, or otherwise seriously fails to fulfill its obligations.     <\/p>\n<ol start=\"13\">\n<li style=\"font-weight: 400; color: #006ab4;\"><strong>  Applicable Law and Disputes<\/strong><\/li>\n<\/ol>\n<p style=\"font-weight: 400;\">13.1 Dutch law applies to all agreements.<br \/>\n13.2 Disputes shall be submitted to the competent court in Almelo, unless parties agree otherwise in writing.<\/p>\n<\/div><\/div><\/div><\/div><\/div>\n","protected":false},"excerpt":{"rendered":"","protected":false},"author":1,"featured_media":0,"parent":0,"menu_order":0,"comment_status":"closed","ping_status":"closed","template":"","meta":{"footnotes":""},"class_list":["post-1944","page","type-page","status-publish","hentry"],"_links":{"self":[{"href":"https:\/\/compadone.com\/en\/wp-json\/wp\/v2\/pages\/1944","targetHints":{"allow":["GET"]}}],"collection":[{"href":"https:\/\/compadone.com\/en\/wp-json\/wp\/v2\/pages"}],"about":[{"href":"https:\/\/compadone.com\/en\/wp-json\/wp\/v2\/types\/page"}],"author":[{"embeddable":true,"href":"https:\/\/compadone.com\/en\/wp-json\/wp\/v2\/users\/1"}],"replies":[{"embeddable":true,"href":"https:\/\/compadone.com\/en\/wp-json\/wp\/v2\/comments?post=1944"}],"version-history":[{"count":2,"href":"https:\/\/compadone.com\/en\/wp-json\/wp\/v2\/pages\/1944\/revisions"}],"predecessor-version":[{"id":1946,"href":"https:\/\/compadone.com\/en\/wp-json\/wp\/v2\/pages\/1944\/revisions\/1946"}],"wp:attachment":[{"href":"https:\/\/compadone.com\/en\/wp-json\/wp\/v2\/media?parent=1944"}],"curies":[{"name":"wp","href":"https:\/\/api.w.org\/{rel}","templated":true}]}}
